TERMS OF SERVICE & MASTER SERVICES AGREEMENT
Effective Date: April 15th 2025
This Master Services Agreement (the “Agreement”) is entered into by and between Rebel Growth Labs (“Rebel Growth Labs”, “we”, “us”, or “our”) located at 30 N Gould St, Sheridan, WY, and the entity accessing or using our services (“Client,” “you,” or “your”).
By using our website, services, or engaging with our data platform, you agree to the terms outlined below.
1. DEFINITIONS
“Available Data”
: Segments and data products provided to Client by Rebel Growth Labs for Authorized Applications.
“Authorized Applications”
: Uses of Available Data specifically permitted, including ad targeting, analytics, retargeting, identity resolution, and related marketing functions.
“Client Data”
: Information you provide to Rebel Growth Labs through pixels, onboarding files, CRM, or other integrations.
“Platform”
: The proprietary system Rebel Growth Labs uses to deliver data intelligence and tracking tools.
“Service Order”
: A signed order outlining services, pricing, and deliverables between Rebel Growth Labs and Client.
2. LICENSE & RIGHTS
We grant you a limited, non-exclusive, non-transferable license to access our Platform and use Available Data only as outlined in your Service Order and this Agreement. You may not resell, redistribute, or repurpose any data or tools unless explicitly agreed in writing.
3. CLIENT DATA
You retain ownership of your Client Data. By submitting Client Data to our Platform, you grant us the right to store, process, and use it for service delivery, performance optimization, and analytics, subject to our Privacy Policy and all applicable laws.
4. TERM & TERMINATION
This Agreement begins on the Effective Date and continues for 12 months unless terminated sooner.
Either party may terminate with 30 days written notice if the other party materially breaches and fails to cure within that period. Termination due to regulatory or legal change may occur immediately upon notice.
Upon termination, all licenses end, and both parties must delete or return confidential data. Rebel Growth Labs may retain one copy for compliance or legal record-keeping only.
5. DATA USE & RESTRICTIONS
Use only what is authorized in the most recent Data Catalog.Do not share data with unauthorized parties.Do not use data in connection with sensitive criteria like race, gender, religion, credit eligibility, or employment.Do not resell, white-label, or build derivative products using our data.
6. COMPLIANCE & STANDARDS
Both parties agree to follow:
All applicable laws including CCPA, GDPR, and othersIAB, DAA, and NAI self-regulation guidelinesData privacy, security, and consumer protection rules
7. FEES & PAYMENT
All fees are outlined in your Service Order. Invoices are sent monthly and due within 7 days. Late payments accrue interest at 0.5% monthly. You are responsible for all taxes except those based on our income.
8. CONFIDENTIALITY
Each party agrees to keep the other’s Confidential Information secure and not disclose it to third parties, except as required by law or as necessary to perform under this Agreement.
9. DATA SECURITY
Both parties must maintain industry-standard data protection programs. In the event of a breach, you must notify us promptly and take all necessary steps to secure affected data.
10. WARRANTIES & DISCLAIMERS
Each party warrants that it has the right to enter into this Agreement. You represent that all data shared with us is collected and used in compliance with applicable laws.
We provide our services “as-is” and make no other warranties, including implied warranties of merchantability or fitness for a particular purpose.
11. LIMITATION OF LIABILITY
Neither party is liable for indirect, incidental, or consequential damages.
Our total liability is limited to
two times the average monthly fees
paid in the 6 months prior to a claim.
12. INDEMNIFICATION
Each party agrees to defend and hold harmless the other from third-party claims arising from a breach of this Agreement, violation of laws, or misuse of data.
13. GENERAL TERMS
Governing Law: This Agreement is governed by the laws of the State of Wyoming.Assignment: You may not assign this Agreement without our written permission.Force Majeure: Neither party is liable for delays caused by events outside their control.Entire Agreement: This document and any signed Service Orders are the full agreement.
